Terms of Service — Doctors

Zyvai Technologies Private Limited / operating as Nadi Health

1. Parties and Acceptance

These Terms of Service (Terms) constitute a legally binding agreement between you (Doctor) and Zyvai Technologies Private Limited, a company incorporated under the Companies Act 2013 with CIN U62011DL2026PTC465961, registered at 14/12, 2nd Floor, Kalkaji, New Delhi, South Delhi 110019, Delhi, India, operating under the brand name Nadi Health (Nadi, we, our). These Terms are effective from 27 April 2026.

By registering as a doctor on any Nadi Health platform, you confirm that you have read, understood, and agree to be bound by these Terms, the Marketplace Terms embedded herein, and our Privacy Policy (nadihealth.co/privacy).

2. Eligibility and Registration

To register as a doctor on Nadi Health, you must:

Nadi reserves the right to verify your NMC registration at any time and to suspend accounts where verification fails or credentials are found to be inaccurate. You are responsible for monitoring the validity of your NMC registration at all times.

4. NMC Registration Lapse

You must notify Nadi immediately if your NMC registration lapses, is suspended, or is cancelled. Your account will be suspended until valid registration is confirmed. Any prescriptions issued during a lapsed registration period remain on your clinical record and are your sole responsibility.

5. Schedule Management

You are responsible for maintaining accurate availability on the platform. You must set consultation slot duration, session capacity, and mark exceptions promptly. If you cannot attend confirmed appointments, you must notify affected patients as early as possible and initiate applicable refunds. Nadi is not liable for disputes arising from inaccurate schedule settings.

Repeated cancellations of confirmed appointments without adequate notice may result in suspension of the advance booking feature on your account.

6. Patient Consent Obligations

You may only access a patients health records if the patient has granted active consent. You must respect each consent state: no consent (you may not access records), active consent (full access), lapsed consent (access suspended until patient renews), and revoked consent (access permanently suspended unless patient re-grants).

For walk-in patients without prior consent, verbal consent attestation by you is permitted and is logged in the system. You must inform the patient that AI scribe is active before initiating any scribe session.

7. AI Scribe — Consent and Responsibility

You must ensure the patient has given explicit scribe consent (separate from general record consent) before starting a recording. You must review all AI-generated notes before approving them into the patient record and correct any inaccuracies before marking the consultation complete. Audio is automatically and permanently deleted after transcription (maximum 24 hours). You are fully responsible for the accuracy of all approved notes.

AI transcription may produce errors including hallucinations — your review is the mandatory safeguard. Approved notes carry your clinical authority.

8. Second Opinion Obligations

Second opinion responses must be advisory only. Responses must not include specific drug names, dosages, frequencies, or instructions that constitute a prescription under the Drugs and Cosmetics Act 1940. If in doubt, treat any recommendation that could lead a patient to obtain a specific medication as a prescription and exclude it from your response. Violation of this rule is grounds for immediate suspension from the marketplace.

If your assessment indicates an urgent condition, you must select Urgent as the urgency level. This triggers immediate WhatsApp alerts to the patient and their primary GP. You are responsible for accurately flagging urgency. Under-flagging urgent conditions may constitute a breach of medical ethics under the NMC Code.

9. Appointment Obligations

For confirmed appointments (status = confirmed), you are obligated to be available at the scheduled time. If a patient does not attend and you mark them as No Show, your refund decision (retain fee / refund) is recorded and is final. If you cannot attend a confirmed appointment, the patient is entitled to a full refund regardless of payment mode.

10. Marketplace Revenue Model

Current commission rates and subscription pricing are available at nadihealth.co/pricing. Nadi reserves the right to update commission rates with 30 days notice to registered doctors. Commission rate changes will not apply to existing Care Plan enrollments — only to new enrollments after the effective date of the change.

11. Platform Subscription Tiers

Current subscription pricing is available at nadihealth.co/pricing. Downgrading your subscription tier will not terminate active Care Plan enrollments or second opinion commitments already accepted. You must honour existing obligations before the downgrade takes effect, or notify affected patients with a minimum of 7 days notice.

12. Data Ownership and Post-Termination Records

All patient records created through your clinical activity on Nadi Health remain the property of the patient. You retain a permanent copy of prescriptions you issued and consultation notes you approved. Access to the patients full record is subject to their ongoing consent.

On termination (voluntary or by Nadi), you retain the right to download a copy of all prescriptions and consultation notes you authored for a period of 90 days from the termination date. After 90 days, this data is archived and available upon written request to hello@nadihealth.co.

13. Revenue Sharing Disputes

For revenue sharing disputes between doctors and organisations, Nadi will provide transaction data to both parties upon request. The resolution of the dispute between the doctor and the organisation is their mutual responsibility. Nadi is not liable for the outcome of such disputes.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zyvai Technologies Private Limited, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) any clinical decisions, prescriptions, or advice you provide through the platform; (b) your violation of the NMC Code of Medical Ethics or the Telemedicine Practice Guidelines 2020; (c) inaccurate registration information or invalid NMC credentials; (d) prescriptions issued during a lapsed NMC registration period; (e) your violation of these Terms or applicable law; or (f) any claim by a patient arising from your clinical activity on the platform.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Zyvai Technologies Private Limited shall not be liable for: (a) clinical decisions made by you or any other doctor on the platform; (b) service interruptions due to third-party infrastructure; (c) any indirect, incidental, consequential, or punitive damages. Nadis total aggregate liability to any doctor shall not exceed the total platform subscription fees paid by that doctor in the 3 months preceding the claim.

16. Force Majeure

Nadi Health shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, government orders, internet outages, or third-party infrastructure failures.

17. Termination

Nadi reserves the right to suspend or terminate your account if: your NMC registration is found to be invalid, lapsed, or suspended; you issue prescriptions without valid patient consent; you use the second opinion feature to issue prescriptions; you engage in fraudulent billing or revenue manipulation; or you violate these Terms or the NMC Code of Medical Ethics.

On account termination: your clinic profile and public doctor page are deactivated; patients with active consents are notified; pending Care Plan enrollments are transferred or terminated with patient notification; pending second opinion responses must be completed or reassigned; earnings accrued up to the termination date are paid out at the next payout cycle.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of competent courts in Delhi, India.
